1. Acceptance of Terms
By accessing or using OpsIQ ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
OpsIQ is a software tool that provides automated gap identification and screening for HIPAA compliance frameworks. The Service:
- Flags potential compliance gaps in AI-generated clinical notes
- Generates compliance scores and risk indicators
- Exports audit logs for internal documentation
- Does NOT provide legal advice, compliance certification, or guarantees of regulatory compliance
3. User Responsibilities
You are solely responsible for:
- Reviewing all OpsIQ outputs with qualified legal and compliance professionals
- Making final compliance determinations for your organization
- Ensuring HIPAA compliance of your AI scribe usage
- Obtaining appropriate legal counsel for regulatory questions
- Not relying on OpsIQ as a substitute for legal or compliance advice
4. Subscription Plans and Billing
Free Tier
- 20 note audits per month
- No audit trail export
- No credit card required
Paid Plans
- Starter ($49/month): 100 audits, exports, history
- Practice ($149/month): 500 audits, multi-user, dashboard
- Enterprise (Custom): Unlimited audits, API, BAA
Billing Terms:
- Monthly subscriptions billed in advance
- Annual plans receive 20% discount
- Overage charges apply if limits exceeded
- Cancel anytime; refunds at our discretion
5. Acceptable Use
You agree NOT to:
- Use the Service to violate any laws or regulations
- Submit content containing actual patient PHI without proper authorization (see PHI Detection below)
- Attempt to reverse engineer, hack, or exploit the Service
- Resell or redistribute access to the Service
- Use the Service to spam, harass, or abuse others
5.1. PHI Detection and Submission
OpsIQ includes automated PHI (Protected Health Information) detection in all wizard forms to help prevent accidental submission of patient data:
- Automatic Detection: The system automatically detects common PHI patterns (SSN, MRN, DOB, credit cards, etc.) in form inputs
- Submission Blocking: Forms with detected PHI will be blocked from submission with a warning modal
- Your Responsibility: You must remove all PHI before submitting compliance documentation. The detection system is a safeguard, not a guarantee
- Override at Your Own Risk: If you choose to override the PHI detection and submit anyway, you do so at your own risk and may violate HIPAA regulations
- Enterprise Plans: Only Enterprise plans with signed Business Associate Agreements (BAA) may submit PHI, and only in designated secure workflows
By using the Service, you acknowledge that:
- You will not submit PHI unless you have an Enterprise plan with a BAA
- You understand that PHI detection may have false positives or false negatives
- You are solely responsible for ensuring no PHI is included in submitted content
- OpsIQ is not liable for any HIPAA violations resulting from PHI submission
6. Intellectual Property
OpsIQ retains all rights to the Service, including software, algorithms, and documentation. You retain rights to content you submit, but grant us license to process it for providing the Service.
7. Data and Privacy
Your use of the Service is governed by our Privacy Policy. Key points:
- Free tier: Content processed client-side when possible
- Paid tiers: Content stored encrypted for audit history
- We do not sell your data
- Enterprise plans include Business Associate Agreement (BAA)
8. Disclaimers and Limitations of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
OpsIQ expressly disclaims:
- Any guarantee that use of the Service will result in HIPAA compliance
- Any warranty that the Service is error-free or uninterrupted
- Any liability for compliance failures, regulatory fines, or legal consequences
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
9. Indemnification
You agree to indemnify and hold OpsIQ harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason. You may cancel your subscription at any time.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in California courts.
